SmileBASIC Oogiri World Grand Prix Agreement

1. I warrant that I have developed this work myself, I retain complete copyright to the work, and that I retain the lawful right to accept this agreement.

2. I warrant that this work does not defame any third party, and does not infringe on any intellectual property rights held by a third party, including copyright and industrial property rights. I also warrant that this work does not violate public order, morals, laws, and any other regulations.

3. I consent to SmileBoom Co.Ltd.. (hereinafter “SmileBoom”) holding exclusive rights to this work with no time limit both within Japan and overseas, as described below. I will not grant or allow to grant rights equivalent to those outlined in the items below to any third party.

 a) Rights for SmileBoom as well as related companies and other parties specified by SmileBoom to duplicate and distribute all or part of this work free of charge in order to publish the works that won awards at the SmileBASIC Oogiri World Grand Prix.

 b) Rights for SmileBoom as well as related companies and other parties specified by SmileBoom to modify and duplicate all or part of this work and create a software product with my prior consent, in order to publish the works that won awards at the SmileBASIC Oogiri World Grand Prix.

 c) Rights for SmileBoom as well as related companies and other parties specified by SmileBoom to duplicate this work (including the results of any modifications and duplications pursuant to the previous items) and to sell and distribute these duplications worldwide, in order to publish the works that won awards at the SmileBASIC Oogiri World Grand Prix. However, in this case, I will be paid a fee for usage decided separately through a discussion between myself, SmileBoom, and related companies and other parties specified by SmileBoom. If an agreement is not reached through mutual discussions regarding the fee for usage, this outcome shall not prevent SmileBoom, and related companies and other parties specified by SmileBoom from duplicating this work and selling and distributing these duplications.
 
 d) Rights for SmileBoom as well as related companies and other parties specified by SmileBoom to independently create derivative works such as products, films, and television broadcasts (including satellite broadcasting and all other methods of broadcasting) related to the characters that appear in this work and to the scenario in this work, or to bestow rights for making derivative works to other parties, in order to publish the works that won awards at the SmileBASIC Oogiri World Grand Prix. However, in this case, I will be paid a fee for usage decided separately through a discussion between myself, SmileBoom, and related companies and other parties specified by SmileBoom. If an agreement is not reached through mutual discussions regarding the fee for usage, this outcome shall not prevent SmileBoom, and related companies and other parties specified by SmileBoom from independently creating derivative works such as products, films, and television broadcasts (including satellite broadcasting and all other methods of broadcasting) related to the characters that appear in this work and to the scenario in this work, or from bestowing rights for making derivative works to other parties.

 e) Rights for SmileBoom as well as related companies and other parties specified by SmileBoom to record all or part of this work to videos or still images and introduce these videos or still images without restriction in services on the Internet and in magazines and other media owned by other companies, in order to publish the works that won awards at the SmileBASIC Oogiri World Grand Prix, and to advertise and promote sales of the SmileBASIC  series.

4. If there are any prohibitions based on the nature of permissions given by materials providers, or if there is difficulty in concluding an agreement owing to the relationship with materials providers, I agree for SmileBoom to take the final decision on the actions to be carried out.

5. I will not grant copyright to this work to a third party without written consent from SmileBoom. Also, if I enhance or revise this work, I will disclose and present the enhanced and revised work free of charge to SmileBoom, and related companies and other parties specified by SmileBoom.

6. This agreement was originally drafted in Japanese, then translated to English. If there is any discrepancy in the interpretation of the text between the Japanese and English versions, the Japanese version shall prevail.
